EXECUTIVE SUMMARY
The City of Alameda (City) entered into a Disposition and Development Agreement (DDA) with Alameda Point Partners (APP) in 2015, for the development of Site A, a 68-acre site at Alameda Point, with 800 residential units and up to 600,000 square feet of commercial uses. From time to time, over the course of the development contemplated pursuant to the DDA, there may be a need to renegotiate provisions of the agreement. Such negotiations may fall within the scope of price and terms for which the City Council must designate real property negotiators prior to meeting in closed session to provide direction to the negotiators.
BACKGROUND
The City entered into a DDA with APP in July 2015, for the development of Site A. Over the past five years, the DDA has been amended five times to address a variety of issues that have arisen during project implementation. Phase 1 construction commenced in June 2017, and backbone infrastructure is nearing completion with West Atlantic scheduled to open by the end of May 2020. The 60-unit senior affordable project will be occupied by the end of May 2020, and construction is underway on Block 6 (62 townhomes) and Block 9 (200 rental units). Construction will begin on the 70-unit affordable family project in early June 2020.
Given the 15-20 year life span of the development project, it is to be expected that issues will arise warranting further real property negotiations related to price and terms, which the City Council may discuss in closed session. Before conducting such closed session items, the City Council must identify its real property negotiators.
DISCUSSION
Under Government Code Section 54956.8, Title 5, Division 2, Part 1, Chapter 9, the City Council must identify, in an open and public session, the real property negotiators for negotiation of the price and terms concerning real property, such as Site A. Staff recommends that the negotiators for negotiations related to the Site A DDA include Eric Levitt, City Manager, Lisa Maxwell, Assistant City Attorney and Debbie Potter, Community Development Director. This will allow City Manager Levitt, Assistant City Attorney Maxwell and Community Development Director Potter to negotiate on the City’s behalf, based on direction provided by the City Council.
ALTERNATIVES
• Approve Eric Levitt, Debbie Potter and Lisa Maxwell as real property negotiators for the Site A DDA.
• Identify other staff as negotiators.
• Choose not to negotiate price and terms related to the Site A DDA, and thus do not identify negotiators.
FINANCIAL IMPACT
There is no financial impact from the approval of real property negotiators.
MUNICIPAL CODE/POLICY DOCUMENT CROSS REFERENCE
This action has no effect on the Alameda Municipal Code.
ENVIRONMENTAL REVIEW
Approval of real property negotiators is categorically exempt from the California Environmental Quality Act (CEQA) pursuant to CEQA Guidelines section 15301, as topic at hand involves the negotiation of the possible sale of property.
CLIMATE IMPACTS
This action has no climate impacts.
RECOMMENDATION
Approve Eric Levitt, City Manager, Lisa Maxwell, Assistant City Attorney, and Debbie Potter, Community Development Director, as Real Property Negotiators for Site A at Alameda Point.
