EXECUTIVE SUMMARY
On March 3, 2020, City Council designated certain staff members as negotiators for property negotiations related to the West Midway Project, and on December 1, 2020, City Council designated certain staff members as negotiators for Site A at Alameda Point.
At this time, staff would like to amend the real property negotiators for these projects. Staff is recommending that City Council designate City Manager, Eric Levitt, Community Development Director, Lisa Maxwell, and Base Reuse Manager, Louis Liss, as the real property negotiators for both the West Midway Project and Site A at Alameda Point, allowing them to meet with City Council in closed session to discuss terms related to both projects and to represent the City in negotiations with a public or private party, all in compliance with all applicable laws.
BACKGROUND
The West Midway Project is a 32.5-acre mixed use development site that consists of a market-rate opportunity site (Market Rate Site) and a 9.7-acre consolidated affordable housing site (RESHAP Site). The Market Rate Site is a 22.8-acre mixed-use project that includes 291 residential units and commercial uses, construction of all required backbone and in-tract infrastructure improvements for the property and all of the required backbone infrastructure for the adjacent RESHAP Site. The Market Rate Site is subject to the Exclusive Negotiating Agreement (ENA) signed in late 2020. The RESHAP project is a 267-unit, 100% affordable housing development being built by Alameda Point Collaborative, Operation Dignity, and Building Futures with Women and Children (collectively, the Collaborating Partners) and Mid-Penn, a non-profit affordable housing developer. This project is subject to the RESHAP Disposition and Development Agreement (DDA) with the City. The Market Rate Site and the RESHAP Site (the West Midway project) collectively include 558 units, of which 48% are affordable to very low- and low-income households, commercial uses and backbone and in-tract infrastructure improvements.
On March 3, 2020, the City Council approved Debbie Potter, Community Development Director; Michelle Giles, Base Reuse Manager; Lisa N. Maxwell, Assistant City Attorney; and Eric Levitt, City Manager, as Designated Real Property Negotiators for the West Midway Project.
Site A is a 68-acre development located at Alameda Point that extends generally from the Main Street entrance of Alameda Point to the eastern edge of the Seaplane Lagoon. The City entered into a Disposition and Development Agreement (DDA) with Alameda Point Partners (APP) in 2015, for the development of Site A. The DDA has been amended five times to address a variety of issues that have arisen during project implementation. As development continues, the need to renegotiate provisions of the agreement may be necessary from time to time. Such negotiations may fall within the scope of price and terms for which the City Council must designate real property negotiators prior to meeting in closed session to provide direction to the negotiators.
On December 1, 2020, City Council approved Eric J. Levitt, City Manager, Debbie Potter, Special Projects Analyst, and Lisa Nelson Maxwell, Assistant City Attorney as real property negotiators to represent the City in such prospective negotiations in connection with Site A at Alameda Point.
DISCUSSION
Under Government Code Section 54956.8, Title 5, Division 2, Part 1, Chapter 9, City Council must identify its real property negotiators for the West Midway Project and for Site A at Alameda Point, which are recommended to be Eric Levitt, City Manager, Lisa Maxwell, Community Development Director, and Louis Liss, Base Reuse Manager.
ALTERNATIVES
City Council may:
• Approve Eric Levitt, Lisa Maxwell, and Louis Liss, as the real property negotiators for the West Midway Project and/or Site A at Alameda Point;
• Identify other staff as negotiators; or
• Choose not to negotiate the terms of the West Midway Project and/or Site A at Alameda Point.
FINANCIAL IMPACT
There is no financial impact from the approval of real property negotiators.
MUNICIPAL CODE/POLICY CODUMENT CROSS REFERENCE
This action is consistent with Alameda Municipal Code.
ENVIRONMENTAL REVIEW
Approval of real property negotiators is categorically exempt from the California Environmental Quality Act (CEQA) pursuant to CEQA Guidelines Section 15301, as topic at hand involves the negotiation of the possible lease of property.
CLIMATE IMPACTS
There are no identifiable climate impacts or climate action opportunities associated with the subject of this report.
RECOMMENDATION
Approve Eric Levitt, City Manager, Lisa Maxwell, Community Development Director, and Louis Liss, Base Reuse Manager, as Designated Real Property Negotiators for the West Midway Project and Site A at Alameda Point.
CITY MANAGER RECOMMENDATION
